Terms of Sale

These Terms of Sale ("Terms") are a legally binding agreement between you and ETLA Holdings, LLC, a Pennsylvania limited liability company operating the Useful Editions brand ("Useful Editions," "we," "us," or "our"). They govern your use of this website and purchase or use of our downloadable products.
Acceptance and eligibility
By placing an order, you agree to these Terms, our Refund Policy, and acknowledge our Privacy Policy. You must be at least 18 years old, legally capable of entering a contract, and a resident of the United States. If you purchase for a business, you represent that you have authority to bind that business.
Products and orders
We sell downloadable educational materials, which may include PDF guides, spreadsheets, checklists, worksheets, prompts, and audio lessons. Product descriptions identify the materials included at the time of purchase. We may reject or cancel an order before fulfillment if we reasonably suspect fraud, pricing error, technical error, or unlawful activity. If we cancel a paid order, we will issue an appropriate refund.
Prices, payment, and taxes
Prices are displayed and charged in U.S. dollars. Payment is processed by Stripe. Applicable sales tax is calculated through Stripe Tax using location information collected during Checkout and is shown before you submit payment. You are responsible for providing accurate billing and tax-location information. We do not receive or store your full payment-card number.
Digital delivery
After Stripe confirms payment, we provide a secure download link on the confirmation page and send a transactional email to the address used at checkout. The link expires after seven days. You are responsible for entering a working email address and downloading and securely retaining the files before the link expires. Contact support if a verified purchase cannot be accessed.
License
Subject to payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download and use the purchased materials for the internal operations of one business that you own or control. You may permit that business's employees, contractors, bookkeeper, accountant, attorney, or financial adviser to use relevant materials solely on its behalf, provided you remain responsible for their compliance with these Terms.
This is a license, not a transfer of ownership. Useful Editions and its licensors retain all copyright and other intellectual-property rights in the products.
Prohibited uses
You may not:
- Resell, redistribute, publish, upload, or publicly share the materials or download link.
- Use the materials for more than one business without purchasing an additional license.
- Remove copyright, trademark, attribution, or proprietary notices.
- Claim the materials as your own or use them to create a competing product for sale or distribution.
- Use the site or materials unlawfully, fraudulently, or to interfere with site security.
Refunds
Because products are delivered immediately in digital form, refunds are not automatic. Refund requests submitted within 14 calendar days of purchase are reviewed individually but are not guaranteed. Technical access problems, duplicate charges, material delivery errors, suspected abuse, redistribution, and applicable law may affect the decision. Full details appear in our Refund Policy.
Educational materials; no professional advice
The products provide general educational information only. They are not legal, tax, accounting, investment, or financial advice and do not create an accountant-client, attorney-client, adviser-client, fiduciary, or other professional relationship. You should consult qualified professionals about decisions specific to your business.
No guarantee of results
Business results depend on many factors outside our control. We do not promise increased cash, revenue, profit, savings, business performance, tax results, or any other particular outcome. You remain responsible for reviewing calculations, assumptions, spreadsheet entries, and business decisions.
Third-party services and advertising tools
Checkout, payment, tax calculation, and email delivery rely on third-party services, including Stripe and Mailgun. We may also use analytics and advertising tools, including Meta Pixel and Google Analytics when enabled, to measure site activity and advertising performance. Third-party services may be governed by separate terms and privacy policies. More information about analytics, advertising, and privacy choices appears in our Privacy Policy. We are not responsible for third-party systems beyond the extent required by applicable law, but we will make reasonable efforts to resolve delivery issues affecting a verified purchase.
Availability and product changes
We may modify or discontinue the website or future product offerings. This does not revoke a valid license to files you already downloaded. We do not guarantee uninterrupted website, Checkout, email, or download availability and may temporarily suspend access for maintenance or security.
Disclaimer of warranties
To the fullest extent permitted by law, the site and digital products are provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that every file, calculation, or example is error-free or suitable for your particular circumstances. Some laws do not permit certain warranty exclusions, so those exclusions apply only to the extent permitted.
Limitation of liability
To the fullest extent permitted by law, ETLA Holdings, LLC and its owners, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill, or business opportunity; or decisions made using the materials. Our total liability arising from a purchased product will not exceed the amount you paid for that product.
These limitations do not exclude liability that cannot lawfully be excluded, including liability for fraud, willful misconduct, or other non-waivable rights under applicable law.
Responsibility for misuse
You are responsible for losses, claims, or expenses reasonably arising from your unlawful use, unauthorized redistribution, or material violation of these Terms, except to the extent caused by our own unlawful conduct.
Disputes and Pennsylvania law
Before filing a claim, you and Useful Editions agree to make a good-faith effort to resolve the dispute informally for at least 30 days after written notice. Send notice to support@usefuleditions.com with the purchase email address, a description of the dispute, and the requested resolution.
These Terms are governed by Pennsylvania law, without regard to conflict-of-law principles. Any dispute not resolved informally must be brought in a state or federal court located in Pennsylvania, and each party consents to personal jurisdiction and venue there. Nothing in this section prevents either party from bringing an eligible claim in small-claims court.
General terms
These Terms, the Refund Policy, and the Privacy Policy form the entire agreement concerning the purchase and replace prior statements on that subject. If one provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign your license or these Terms without our written consent; we may assign them in connection with a business reorganization or transfer. Headings are for convenience only.
Changes to these Terms
We may update these Terms prospectively by posting a revised version and effective date. The Terms presented when you place an order govern that completed transaction except where a change is required by law or you expressly agree otherwise.
